1. Acceptance of these terms

These Terms of Service ("Terms") form a legally binding agreement between you and Viyali ("we", "us" or "our") governing your access to and use of our mobile applications, the website viyali.com (formerly letsdosimple.com), and any related products and services (together, the "Services").

By downloading, installing, accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. Who we are

The Services are operated by Viyali. References to "Viyali", "we", "us" and "our" include letsdosimple.com and its operators. Questions about these Terms can be sent to support@viyali.com.

3. The services

Viyali provides mobile applications and web tools designed to be simple, lightweight and useful. Features may vary by platform, version and region, and we may add, remove or modify features at any time.

Some apps are provided free of charge and are supported by advertising; others may offer optional paid features. The specific terms for a paid feature will be shown before purchase.

4. Eligibility

• You must be at least the age of majority in your country (generally 18) to accept these Terms on your own behalf.
• If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
• The Services are not directed to children under 13 (or the equivalent minimum age in your country), and children may not create accounts.

5. Your account

• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• You must provide accurate information and keep it up to date.
• Notify us immediately at support@viyali.com if you suspect unauthorised access to your account.
• We may suspend or terminate accounts that violate these Terms or that we reasonably believe are compromised.

6. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent or harmful purpose;
• Attempt to gain unauthorised access to our systems, other users' data, or connected accounts;
• Reverse engineer, decompile, disassemble or otherwise attempt to extract source code, except where applicable law expressly permits it;
• Circumvent, disable or interfere with security, rate limits, access controls or advertising;
• Use automated means (scraping, bots, crawlers) to access the Services without our written permission;
• Upload or transmit malware, or attempt to disrupt or overload the Services;
• Resell, sublicense or commercially exploit the Services without our written consent;
• Remove, obscure or alter any proprietary notices within the Services.

7. Intellectual property

The Services — including all software, designs, graphics, logos (including the Viyali and LetsDoSimple marks), text and documentation — are owned by us or our licensors and are protected by copyright, trademark and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal, non-commercial purposes. No ownership rights are transferred to you.

8. Your content

• You retain ownership of content you submit to us (for example, support messages or feedback).
• You grant us a worldwide, non-exclusive, royalty-free licence to host, use, reproduce and process that content as needed to operate and improve the Services and to respond to your request.
• You represent that you have all rights necessary to submit the content and that it does not infringe third-party rights or violate law.

9. Advertising

Free versions of our apps display advertisements served by third parties, including Google AdMob. Advertising partners may use identifiers and information collected from your device as described in our Privacy Policy.

• We do not control the content of third-party ads and are not responsible for them.
• You may opt out of personalised advertising through your device settings or Google Ads Settings.
• Interacting with an advertisement is at your own risk; third-party sites have their own terms and policies.

10. Purchases, subscriptions & refunds

• Payments are processed by the platform store you purchased through (for example Google Play or the Apple App Store), subject to that store's terms.
• Prices, subscription periods and included features are shown at the point of purchase and may change with notice for future periods.
• Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period, through your store account settings.
• Refunds are handled in accordance with applicable law and the refund policy of the relevant store.
• Where required by law (for example EU consumer law), you have a 14-day right of withdrawal from digital purchases; details are provided at checkout.

11. Third-party services

The Services may integrate or link to third-party products, websites or services that we do not control. Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy or practices of third-party services.

12. Availability, updates & changes

• We aim to keep the Services reliable but do not guarantee uninterrupted or error-free operation.
• We may release updates that change, suspend or discontinue features. Some updates may be required to continue using the Services.
• We may modify or discontinue the Services entirely, with reasonable notice where practicable.

13. Disclaimers

We do not warrant that the Services will be accurate, reliable, uninterrupted or free of defects, or that defects will be corrected. Where you rely on information obtained through the Services, you do so at your own discretion and risk.

14. Limitation of liability

To the maximum extent permitted by applicable law, Viyali and its officers, employees, partners and licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, goodwill or business opportunity, arising out of or related to your use of the Services.

Our total aggregate liability for all claims relating to the Services shall not exceed the greater of (a) the amounts you paid to us for the Services in the 12 months before the claim arose, or (b) fifty US dollars (US$50).

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

15. Indemnity

You agree to indemnify and hold harmless Viyali from and against any claims, damages, losses and expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any third-party right or law.

16. Termination

• You may stop using the Services at any time and request account deletion per our Privacy Policy.
• We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services and other users.
• Upon termination, the licence granted to you ends and you must stop using the Services. Provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability and indemnity) will survive termination.

17. Governing law & disputes

• These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law rules.
• Before filing a formal claim, you agree to try to resolve the dispute informally by contacting support@viyali.com and giving us 30 days to respond.
• Consumers in the EEA, UK or other regions retain any mandatory rights under the consumer protection laws of their country of residence.

18. Severability & entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. These Terms, together with the Privacy Policy and any feature-specific terms, constitute the entire agreement between you and Viyali regarding the Services and supersede prior agreements on the same subject.

Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or asset transfer.

19. Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated revision date, and where appropriate we will notify you in-app or by email. Your continued use of the Services after changes take effect constitutes acceptance of the new Terms. If you do not agree, you must stop using the Services.
